LORDSHA PRODUCTIONS / VERSION MP3-2026-10-27

MP3 Lease Agreement

MP3 leases are available for $29.99 per beat. The license takes effect upon the buyer’s acceptance and successful payment. Adding a beat to a crate does not grant a license.

1. Parties and purchase details

The producer is Korain A. Savlowitz, professionally known as LordSha, doing business as LordSha Productions (“Producer”). The licensee is the buyer identified in the paid Shopify order (“Buyer”). The order identifies the licensed instrumental (“Beat”), purchase date, buyer and order number. These terms apply separately to each Beat purchased as an MP3 lease. The effective date is the successful payment date.

2. License and delivery

For a one-time license fee of $29.99 USD per Beat, Producer grants Buyer a worldwide, nonexclusive license to use the Beat to create one new song (“Song”). A full-length MP3 is delivered digitally after payment verification. Producer tags remain in the supplied file. WAV files, stems and exclusive rights are not included.

3. Term and permitted use

Buyer must arrange a written upgrade or renewal before exceeding a limit or continuing use after the term. Radio broadcasts require Producer’s prior written permission. Film, television, advertising, games and other synchronization placements beyond the permitted music video require a separate agreement.

4. Ownership and restrictions

Producer retains ownership of the underlying Beat. This is a license, not a transfer of Beat copyright. Buyer’s contributions remain subject to the agreed composition split below. Buyer may not resell, share, redistribute or sublicense the standalone Beat, or make exclusive Content ID claims over the Beat or recordings containing this nonexclusive Beat. Other artists may license the same Beat. A later exclusive sale does not cancel this valid lease.

5. Songwriting and publishing

The Song’s composition ownership is 50% to Producer and 50% collectively to Buyer’s songwriting side. Buyer’s side must divide its collective share among its co-writers; it is not 50% for each writer. Additional Beat collaborators or third-party sample owners require a written split adjustment before release.

Each side retains and administers the publishing rights associated with its agreed composition interest, subject to existing publishing agreements. Producer has not supplied a separate BMI publisher account; Buyer must not invent a publisher registration for LordSha Productions. Registration percentages must follow the relevant performing rights organization’s conventions. The 50/50 split describes ownership of the whole composition.

6. Recording royalties and accounting

Buyer must pay Producer 10% of recording revenue actually received by Buyer from exploitation of the Song’s master recording. This participation is separate from songwriting and publishing royalties. Recording, promotion and video expenses may not be deducted when calculating it.

Buyer must provide a royalty statement and payment every three months, due within 30 days after each calendar quarter ends. Statements and payment arrangements are coordinated through Lordshaproductions@gmail.com.

7. Credit and upgrades

Credit must read “Produced by LordSha” wherever production credits are available. The original $29.99 lease fee is credited toward an agreed higher-tier license for the same Beat and Song. An upgrade requires written agreement and availability; the credit does not reserve exclusive rights.

8. Third-party material

No blanket promise of sample clearance is made. Any applicable third-party clearance requirements must be identified and resolved before the contemplated release or use. Buyer is responsible for rights to material Buyer adds. If either party identifies a clearance issue, contact Producer before release to resolve it in writing.

9. Delivery and refunds

Change-of-mind refunds are not offered after download. Wrong or damaged files will be corrected. Duplicate charges and delivery failures that cannot be resolved will be refunded. Nothing here limits refund rights required by applicable law. Contact Lordshaproductions@gmail.com with the order details. These digital-beat terms do not set merchandise return terms.

10. Disputes and governing law

First contact Producer in writing at the email above and allow 30 days to work toward resolution. This process does not prevent either party from exercising rights that cannot legally be waived.

Florida law governs this agreement, subject to applicable federal law and mandatory consumer protections. Disputes will be brought in state courts located in Duval County, Florida, or, for claims within federal jurisdiction, the appropriate federal court serving Duval County, Florida. Either party may use an eligible small claims procedure in a court with jurisdiction, subject to applicable law. No mandatory arbitration applies. These choices do not override mandatory jurisdiction, venue or consumer rights.

Version MP3-2026-10-27. WAV and exclusive packages require separate agreements. Keep this agreement and your order confirmation for your records.
